11. Statutory and official regulations
The supplier guarantees that the delivered goods comply with the statutory and official regulations (for example, the law governing technical equipment, EU Directives etc) as well as with the employers' liability insurance association's safety regulations and our regulations covering the design and quality of machines and equipment. If this guarantee is breached, we can demand compensation or withdraw from the contract.

12. Observance of secrecy
All the documents which we allow the supplier to access during the course of our commercial relationship with him, particularly construction drawings, progress reports, procedural descriptions and material analyses, are confidential and may not be copied without our approval or made available, directly or indirectly, to third parties. Goods which are manufactured according to our instructions, drawings or models or the use of tools which we have paid for partly or in full, may not be offered or delivered to third parties nor may samples be sent. In the event of culpable non-compliance with the obligation to maintain secrecy, as described above, we can demand a reasonable contractual penalty, as stipulated by us at our reasonable discretion, which is to be checked by the appropriate court in the event of a dispute.

13. Validity
If a provision contained in these terms and conditions of purchase or a provision in other agreements is or becomes invalid, this will not affect the validity of any other provisions or agreements.

14. Place of performance
The place of performance for supplies and services is our registered office or the receiving station stated by us. The place of jurisdiction is Bückeburg if this is legally permissible.

15. Law which applies
Unless something else is agreed, the legal regulations of the Federal Republic of Germany apply on a mandatory basis.
The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is ruled out.

16. Acceptance of goods:
Monday – Thursday: 7.30 - 15.00 hours
Friday: 7.30 - 12.00 hours
