1. Validity
We place orders subject to our General Terms and Conditions of Purchase. Other terms and conditions are not the subject matter of the contract even if we have not expressly opposed them. If we accept the goods without an express objection, this does not in any way infer that we have accepted the General Terms and Conditions of Delivery of the party to the contract. When submitting offers, the supplier must declare that he agrees to our General Terms and Conditions of Purchase. If such a declaration is not made, the execution of our order is always deemed to be acceptance of our General Terms and Conditions of Purchase.

2. Orders
Orders are only binding on us if they are placed or confirmed by us in writing.

3. Confirmation
Our orders or amended orders are to be confirmed by the supplier within 10 days from the date of the order, otherwise we reserve the right to cancel them without incurring any costs.

4. Delivery period and consequences of delayed delivery
Confirmed delivery dates relate to receipt in our incoming goods department and are binding. The supplier must inform us of identifiable delivery delays. If the supplier does not provide the service which is due or not according to the terms stipulated, we can withdraw from the contract and/or demand compensation instead of the service or reimbursement of expenses incurred in vain if we have stipulated a reasonable period for performance or subsequent performance to no avail. Compensation instead of the service or reimbursement of expenses incurred in vain cannot be demanded if the supplier is not responsible for not providing the service or not providing it according to the terms stipulated. The fixing of a time limit is superfluous if the supplier refuses, definitively and wholeheartedly, to provide the service or if there are special circumstances which, when considering both parties' interests, justify immediate withdrawal from the contract or the immediate enforcement of the claim for compensation or reimbursement of the expenses incurred in vain. Such an instance exists in particular in the event of fixed-date purchases.
